Terms of Service
If you signed a separate Cover Page to access the Product with the same account, and that agreement has not ended, the terms below do not apply to you. Instead, your separate Cover Page applies to your use of the Product.
This Agreement is between vitalvoice.ai Inc. and the company or person accessing or using the Product. This Agreement consists of: (1) the Order Form below and (2) the Framework Terms defined below.
If you are accessing or using the Product on behalf of your company, you represent that you are authorized to accept this Agreement on behalf of your company. By signing up, accessing, or using the Product, Customer indicates its acceptance of this Agreement and agrees to be bound by the terms and conditions of this Agreement.

Order Form
Cloud Service: vitalvoice.ai is an autonomous real-time interpreter designed for healthcare and emergency services. It delivers HIPAA-aware, voice translation without the need for push-to-talk, or human scheduling.
Order Date: The date on which Customer initiates their subscription through the Product interface.
Subscription Period: 1 week(s)
Cloud Service Fees: $1.99 per week for unlimited interpretation. No usage caps or in-app purchases.
Payment Process: Customer authorizes Provider to bill and charge the payment method on file weekly without further approval.
Non-Renewal Notice Period: The Customer may cancel renewal up to 1 minute before the end of the current Subscription Period, provided the subscription was initially activated at least 7 days prior. For example, if a weekly subscription starts on Monday at 3:00 PM, the user may cancel anytime before the following Monday at 2:59 PM.
Use Limitations:
Enterprise: Unlimited use for professional, organizational, or emergency response purposes under a valid enterprise or pilot agreement. Teamwide access is permitted according to contractual scope.
Consumer: Unlimited individual use is allowed, but may not include 24/7 streaming, automation, or use that circumvents intended human-to-human communication. Service may not be embedded in external platforms without written permission.
Key Terms
Customer: The company or person who accesses or uses the Product.
Provider: vitalvoice.ai Inc.
Effective Date: The date the Customer first accepts this Agreement.
Governing Law: The laws of the State of Delaware
Chosen Courts: The state or federal courts located in Delaware
Covered Claims:
Provider Covered Claims: Infringement claims related to the Cloud Service when used according to the Agreement.
Customer Covered Claims: Infringement claims related to Customer Content or breaches of restrictions in Section 2.1.
General Cap Amount: The fees paid or payable by Customer to Provider in the 12 months before the claim.
